Experience

Henrique advises domestic and foreign companies, financial institutions, and investors on a wide range of capital market and corporate matters. He applies his expertise to structuring and executing initial and follow-on public offerings of shares and certificates of deposit representing shares (IPOs and Follow-ons) in Brazil and abroad, as well as public tender offers for acquisition of shares.

Henrique assists publicly-held companies with regulatory and self-regulatory issues, especially those related to Brazilian Securities and Exchange Commission (CVM) and the Brazilian stock exchange, B3 S.A. – Bolsa, Brasil, Balcão.

He also focuses on ESG matters – particularly in relation to corporate governance – including related disclosure matters and specialized ratings/rankings.

Henrique previously worked as an international lawyer at Milbank LLP in New York.

DEAL: Ecopetrol acquires stake in Brazil’s Brava Energia

Mayer Brown LLP in Houston and its affiliated Brazilian firm Tauil & Chequer Advogados have helped Colombian state-owned oil company Ecopetrol acquire a stake in Brazil’s Brava Energia.

To fund these transactions, it is obtaining a bridge loan. Mattos Filho is advising the lenders in that deal.

DEAL: Brazil’s Vitru completes follow-on share offering

Two Davis Polk & Wardwell LLP offices and Brazil’s Mattos Filho have helped Brazilian education company Vitru Educação complete a 177 million reais (US$36 million) follow-on equity offering.

Three White & Case LLP offices and Brazilian firm Machado Meyer Advogados acted for the banks.

The deal closed on 22 April.
