Mining

We advise on mining policy, regulatory issues, ESG issues, proceedings before the National Mining Agency (AMN) and other related entities, as well as advice on participating in public hearings and consultations, preparing opinions and monitoring bills and proposals for regulatory changes;

We draft, negotiate and analyze common contracts in the industry, including purchase and sale contracts, assignment or lease of mining rights, option, joint venture, construction, equipment supply, miscellaneous services, supply, offtake, royalties and streaming;

We participate in negotiations with surface landowners, defense of claims related to exploration or mining rights (such as the institution of mining easements), as well as advice concerning mining-related environmental and community issues;

We advise on acquiring an equity interest in companies in the mining sector, including verifying ownership of mineral rights and conducting due diligence for all relevant areas, as well as drafting share/quota purchase agreements, shareholder/quotaholder agreements, option, investment and association/joint venture agreements, among others;

We advise companies on public and private offerings of shares and bonds, including preparing audit reports that cover all relevant areas and the company prospectus, as well as assistance with registering with institutions;

We assist with transactions for project finance, development, construction and operation, as well as transactions for other major works in the mining sector;

We represent mining companies, financial institutions and investors in litigation, arbitration and mediation related to the mining sector.
