Experience
Caio has extensive experience advising on numerous IPOs and followons, as well as advising intermediary institutions and issuers in registering publicly-held companies, establishing securities distribution programs – such as units – and in day-to-day corporate and regulatory activities. Caio represents clients in mergers and acquisitions (including De-SPACs), debt and securitization offers, financing, and structured transactions, including for infrastructure projects. He also works with international transactions involving multiple jurisdictions, such as loans and bond issuances.

Faced with a deadlock over Novo Mercado, B3 to launch a new public consultation
After the incident with Lojas Americanas, the entire market had to recalibrate, from private credit managers to regulatory entities. In this vein, B3 decided to revise the rules of the Novo Mercado, a segment of the Brazilian Stock Exchange that “leads companies to the highest standards of corporate governance,” of which the retailer was a part. The Stock Exchange initiated a public consultation for agents to contribute, but there are disagreements over some of the proposals, especially concerning the “Under Review Seal.”
