DEAL: Novonor divests shares in Braskem
Brazilian investment fund Shine I FIP has enlisted Pinheiro Neto Advogados and Spinelli Advogados to acquire a majority stake in petrochemicals group Braskem from local construction group Novonor.
Novonor, which made the sale through its investment arm, relied on Mattos Filho for the deal.

Decree sets taxation of corporate fund investments
If converted into law, provisional measure (MP) No. 1,303 may lower the tax burden for companies investing in equity funds (FIAs), private-equity funds (FIPs), real estate funds (FIIs), and agribusiness funds (Fiagros). A provision in the MP — which went largely unnoticed — amends Law No. 14,754/2023 to state explicitly that Corporate Income Tax (IRPJ) and Social Contribution on Net Profit (CSLL) will only be due when income from these funds is “realized” — meaning upon redemption of shares, amortization, receipt of dividends, or sale of assets, according to tax experts.

Mattos Filho and Gaia Silva behind cancer treatment partnership in Brazil
Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados has helped private medical group Oncoclínicas do Brasil sell a minority stake in a radiotherapy subsidiary to healthcare company Unimed.
The buyer, including its subsidiaries, hired Gaia, Silva, Gaede & Associados Advocacia, for the deal, which closed on 31 March. No value was disclosed.
