We advise a wide range of oil exploration and production companies, distributors, natural gas transporters, service providers, private equity companies and commercial banks. Our work covers all areas of the oil & gas sector, including exploration, development, extraction, refining, distribution, sales, imports and exports of oil, natural gas and liquefied natural gas. We also assist with public share offerings, bidding processes for concessions and production sharing agreements, and administrative litigation with Brazil’s National Agency of Petroleum, Gas and Biofuels (ANP).

Our main services

We advise on acquiring assets and companies in the oil and natural gas sector, as well as preparing due diligence reports, share purchase agreements and shareholder agreements, among others.

We assist with incorporating and registering new companies in Brazil with competent bodies, including the ANP.

We prepare and negotiate a wide array of contracts, including joint operation agreements, unitization, farm-out, off-take, onshore and offshore drilling, fuel and petroleum byproduct distribution agreements, construction agreements, equipment supply, gas supply and transportation contract.

We assist with initial public offerings (IPOs), preparing due diligence reports, offerings and registrations with Brazil’s Securities and Exchange Commission (CVM).

We assist with project financing transactions for the construction of platforms, refineries, power plants, oil pipelines, lubricant plants and other major construction works in the sector.

We advise on all phases of public bids for concessions and production-sharing agreements for hydrocarbon exploration and production in Brazil.

We monitor amendments to the regulatory framework governing oil and gas exploration and exploitation in Brazil, especially in regard to pre-salt layer gas production.
