  • Preparation, review, and negotiation of all legal documents pertaining to real estate interests, including purchase and sale agreements, commitments of purchase and sale, exchanges, payments in kind, real estate guarantees, construction, contracting, rental and lease agreements, built to suit lease, sale and lease-back, rural lease, real estate partnerships, surface rights, and real estate transfers effectuated pursuant to corporate acts.

  • Structuring of ventures for real estate development, including parcels, subdivisions, shopping malls, hotels and hotel flats, and collective ownership (condominium) arrangements involving residential, commercial, industrial, hospital, and club properties.

  • Review and filing of real estate documents with registries and due diligence investigations involving real estate, including preparation of memoranda addressing legal issues ancillary to real estate transactions. 

  • Preparation and review of real property guarantees, such as fiduciary transfers and mortgages.

  • Structuring of real estate funds, debt bonds offerings, and securitizations involving real estate assets in connection with other areas of the firm.

  • Real estate due diligence in support of corporate and capital market transactions, and joint review of real estate issues with other firm practice areas in order to identify commercial, tax, environmental, and corporate issues bearing on real estate.

  • Advice about regulations affecting the acquisition of rural properties by foreign parties, including pending reforms affecting restrictions on ownership by foreigners and foreign-controlled parties.

  • Provision of updates about pending legal developments affecting real estate industry clients.
